Moneta Terms of Service

1. Definitions

  • “Moneta” means the Moneta software platform and related services.
  • “Customer,” “you,” “your” means the organization (tenant) that creates an account.
  • “Authorized Users” means individuals you permit to access your tenant account.
  • “End Users / Payors” means people who pay you (e.g., members, customers, students, donors).
  • “Payment Provider” means third-party processors supported by Moneta (including Paystack).
  • “Customer Data” means information you upload or process through Moneta.

2. Acceptance and eligibility

By creating an account or using Moneta, you agree to these Terms. You represent that you are legally able to enter into this agreement and, if acting for an organization, you have authority to bind that organization.

3. Scope of service

Moneta provides software for payment operations, notifications, reporting, and administrative tools. Moneta provides software services only and is not a bank, financial institution, money transmitter, or payment processor. Moneta may add, change, or discontinue features over time.

4. Scope / License to use

Subject to these Terms, Moneta grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal organizational operations. You may not reverse engineer, decompile, scrape, resell, sublicense, or circumvent access or security controls.

5. Account responsibilities

You are responsible for maintaining credential confidentiality, controlling Authorized User access, ensuring all account information is accurate and up to date, and all activity conducted under your tenant account by you or your Authorized Users.

6. Payment processing and settlement

  1. Moneta does not hold funds. Payments are processed and settled by Payment Providers.
  2. Provider terms apply. Settlement timelines, reversals, chargebacks, disputes, account limits, and compliance reviews are governed by the Payment Provider’s terms and processes.
  3. Your relationship with payors. You are solely responsible for the goods/services/contributions you collect and for communicating your refund and dispute policies to End Users / Payors.
  4. Fees. Payment Provider fees may apply to transactions as determined by the Payment Provider and your configuration.

7. Chargebacks, refunds, and disputes

Chargebacks, reversals, and payment disputes may occur and are controlled by the Payment Provider’s rules and adjudication process. You bear responsibility for chargebacks, refunds, and customer dispute outcomes related to your transactions and fulfillment.

Moneta may provide transaction logs, records, and supporting metadata to assist your dispute responses, but Moneta does not control chargeback decisions or provider reversals. Moneta may restrict or suspend risk-sensitive features where chargeback or fraud risk is elevated.

8. Payout details and configuration

Where you provide bank or mobile money payout details, you warrant you are authorized to use that account and that the details are accurate. You acknowledge that payout availability may be affected by Payment Provider verification or risk controls.

9. Acceptable use

You will not use Moneta to violate law, engage in fraud or deceptive practices, transmit malware, attempt unauthorized access, collect payments for prohibited/illegal goods or services, misuse End User / Payor data, or send unsolicited spam communications.

Moneta may suspend or terminate access if we reasonably believe your use presents legal, security, fraud, or reputational risk, or if required by a Payment Provider or law enforcement.

10. Fees, billing, and taxes

  1. Billing model. Moneta bills monthly for your plan subscription plus accumulated platform fees/commissions for the billing cycle.
  2. Invoices and due date. Invoices are typically issued at month-end and payable by the due date shown (generally 7 to 14 days).
  3. Billing disputes. You must raise billing disputes within 14 days of invoice issue; undisputed amounts remain payable when due.
  4. Late payment. Late or non-payment may result in account restrictions, feature limitations, or suspension.
  5. Taxes. You are responsible for applicable taxes, duties, or levies relating to your use of Moneta, except taxes on Moneta’s net income.

11. Data, privacy, and communications

  1. Customer Data ownership. You retain ownership of Customer Data.
  2. Platform processing. Moneta processes Customer Data to operate, secure, and improve the platform (e.g., audit logs, fraud checks, notifications).
  3. Privacy Policy. Our collection and use of personal data is further described in our Privacy Policy at /privacy/.
  4. Notifications. You consent to operational communications (email/SMS/in-app). Delivery is not guaranteed and may be affected by third parties.

12. Security

Moneta implements reasonable administrative, technical, and organizational measures to protect Customer Data. No system is perfectly secure; you are responsible for using strong passwords and safeguarding access.

13. Suspension and termination

You may stop using Moneta at any time. Moneta may suspend or terminate access for breach, fraud or risk concerns, non-payment, legal requests, or Payment Provider requirements.

Upon termination, your license ends. Moneta may provide a reasonable data export window where practical and may retain records as required for legal, compliance, fraud prevention, or audit obligations.

Any clauses that by nature should survive termination (including payment obligations, IP ownership, disclaimers, limitations of liability, indemnities, and dispute clauses) will survive.

14. Intellectual property and feedback

Moneta and its underlying software, interfaces, designs, and trademarks are owned by Moneta or its licensors. Except for the limited license granted in these Terms, no rights are transferred to you.

If you submit ideas, suggestions, or feedback, you grant Moneta a worldwide, royalty-free license to use and improve the Services without obligation to you.

15. Service availability and changes

Moneta aims for reliable uptime but does not guarantee uninterrupted service. Downtime may occur due to maintenance, provider outages, or events beyond our control.

Moneta may update, modify, or discontinue features from time to time as part of improving the Services.

16. Disclaimers

To the maximum extent permitted by law, Moneta is provided “as is” and “as available.” Moneta does not warrant that the platform will be error-free or that Payment Providers will accept or settle all transactions.

17. Limitation of liability

To the maximum extent permitted by law, Moneta is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill.

Moneta is not responsible for Payment Provider actions (including holds, chargebacks, reversals, delayed settlement, account reviews, or restrictions) or disputes between you and End Users / Payors.

18. Indemnity

You agree to indemnify and hold Moneta harmless from claims arising out of (a) your use of the platform, (b) your relationship with End Users / Payors, (c) your content, products, services, or refund policies, or (d) your violation of law or these Terms.

19. Governing law and venue

These Terms are governed by the laws of Ghana. Any disputes will be subject to the courts of competent jurisdiction in Ghana.

20. Changes to terms

We may update these Terms periodically. Continued use after the effective date of updated Terms constitutes acceptance.
